1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of:

  • the Vital Direction website located at https://vitaldirection.co.uk and any associated domains or sub-domains (the “Website”);
  • any content, analysis, research, commentary, alerts, and trading signals published by Vital Direction; and
  • any related channels, including but not limited to WhatsApp, Telegram, email, social media, and other instant messaging groups operated by or on behalf of Vital Direction (collectively, the “Services”).

The Services are provided by Vital Direction LLC, a United States limited liability company (“Vital Direction,” “we,” “us,” or “our”).

By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund & Cancellation Policy (together, the “Agreement”).

If you do not agree with the Agreement, you must not access or use the Services.

2. Eligibility and Legal Compliance

You represent that you:

  • are at least the legal age of majority;
  • have the authority to enter into this Agreement;
  • will comply with all applicable laws, including sanctions, financial regulations, and trading restrictions.

2.1 You may only use the Services if doing so is lawful in your jurisdiction and does not require Vital Direction LLC to obtain regulatory approval, licensing, registration, or authorisation of any kind.

2.2 The Services are not available to persons located in, resident in, or accessing the Services from any jurisdiction in which the provision of general market commentary, digital trading content, or educational analysis requires licensing or regulatory authorisation that Vital Direction LLC does not hold. This specifically includes, but is not limited to, the following restricted territories:

  • United Kingdom
  • United States of America
  • Canada (including all provinces and territories)
  • Australia
  • European Union member states where digital financial commentary or market-signal services require local authorisation
  • Singapore
  • New Zealand
  • Japan
  • Hong Kong
  • United Arab Emirates (including DFSA-regulated zones)
  • Cuba
  • Iran
  • North Korea
  • Syria
  • The Crimea, Donetsk, and Luhansk regions of Ukraine
  • Any jurisdiction classified as high-risk or restricted for financial services or digital market information distribution
  • Any country whose laws require licensing, registration, or authorisation for the type of general financial analysis or content offered by Vital Direction LLC

2.3 By using the Services, you represent and warrant that you are not physically located in, ordinarily resident in, a citizen of, or otherwise subject to the laws of any restricted territory listed above.

2.4 Vital Direction reserves the right to update, expand, or amend the list of restricted territories at any time, without notice, to comply with evolving regulatory requirements.

2.5 If you access or attempt to access the Services from any restricted territory, whether by mistake or by circumventing geolocation controls (including through VPN, proxy, TOR, or similar technologies), you:

  • are in breach of this Agreement,
  • may have your access terminated immediately, and
  • waive any rights to refunds or claims against Vital Direction LLC.

2.6 You remain solely responsible for determining whether the use of the Services is lawful and permitted in your jurisdiction. Vital Direction LLC does not accept liability for your non-compliance with any applicable laws.

3. Nature of Services – Publisher’s Exemption

3.1 Informational publisher; no personalised advice
The Services consist of general and impersonal financial market commentary, technical analysis, and educational content, including but not limited to:

  • chart analysis, Elliott Wave, Fibonacci and related technical tools;
  • written and video analysis;
  • trade ideas and example entry, stop-loss, or target levels; and
  • automated or manual alerts (“signals”) circulated to multiple subscribers simultaneously.

Our content is provided on a non-personalised, general basis, and is not tailored to the investment objectives, financial situation, risk tolerance, or particular needs of any specific individual or entity. We publish the same or substantially similar content to our audience on a broad basis as a financial information publisher.

3.2 No investment, legal, tax or other professional advice
 Nothing in the Services:

  • constitutes investment, financial, trading, legal, tax, accounting, or other professional advice;
  • is a recommendation or solicitation to buy, sell, or hold any financial instrument or to engage in any trading strategy; or
  • creates any fiduciary duty or advisor-client relationship between you and Vital Direction.

You understand and agree that any decisions you make with respect to trading, investing, or any other financial activity are made solely by you and at your own risk.

3.3 No registration as investment adviser or broker-dealer
Vital Direction is not registered as, and does not act as:

  • an investment adviser under the U.S. Investment Advisers Act of 1940 or similar laws;
  • a broker-dealer, commodity trading adviser, or futures commission merchant; or
  • an authorised or regulated person under the U.K., EU, or other non-U.S. financial services regimes.

Our Services are intended to fall within the publisher’s exemption/newsletter exemption for bona fide financial publications of general and regular circulation and are provided solely in that capacity.

Nothing in these Terms should be interpreted as an admission that any particular law or regime applies to us.

3A. Application of the Elliott Wave Principle (Integrated Section)

3A.1 Educational intent
Vital Direction applies the Elliott Wave Principle to illustrate market behaviour shaped by fluctuations in mass psychology. These patterns may provide insight into past, current, and potential future market structures, but are probabilistic and not guaranteed.

3A.2 Scope of publications
 The purpose of Vital Direction’s publications is to:

  • Outline market progress using the Elliott Wave framework.
  • Educate users on its effective application.

Although trading strategies can be derived from Elliott Wave analysis, Vital Direction does not make personal recommendations. Users must not infer that tailored advice is being provided.

3A.3 Risk and uncertainty
Trading and investing involve inherent risk. Leveraged instruments, including futures and options, may result in losses exceeding initial margin. Information is provided in good faith but cannot be guaranteed. Error is intrinsic to all forms of market forecasting.

Users should consult qualified professionals before trading or investing.

4. High-Risk Trading Warning

4.1 Market risk
Trading in financial instruments – including but not limited to foreign exchange (FX), contracts for difference (CFDs), futures, options, equities, indices, and cryptocurrencies – involves a high level of risk and may not be suitable for all investors. You can lose some or all of your capital, and losses may occur rapidly.

4.2 Past performance
Past performance, hypothetical performance, or back-tested results are not indicative of future results. No representation or guarantee is made that any account will or is likely to achieve profits or losses similar to those discussed in any content.

4.3 Your responsibility
You acknowledge and agree that:

  • You are solely responsible for your own trading and investment decisions;
  • You should conduct your own independent research and, where appropriate, seek independent professional advice (e.g., from a regulated investment adviser); and
  • You use any information or signals provided through the Services entirely at your own risk.

5. Accounts, Access, and Third-Party Platforms

5.1 Registration
To access certain parts of the Services (e.g., paid memberships, private groups, courses), you may be required to create an account or subscribe. You agree to provide accurate, current, and complete information and to keep that information up to date.

5.2 Security
You are responsible for maintaining the confidentiality of your login credentials and for any activity occurring under your account. You must notify us promptly if you suspect any unauthorized access or security breach.

5.3 Third-party platforms
Our Services may be delivered via third-party messaging platforms (including but not limited to WhatsApp, Telegram, and similar services). You acknowledge that:

  • These platforms are operated by third parties, not controlled by Vital Direction.
  • We are not responsible for the availability, performance, security, or terms of those platforms; and
  • Your use of such platforms is subject to the separate terms and privacy policies of the relevant provider.

We may change, limit, or discontinue the use of any particular platform at any time.

5.4 Group conduct
You agree to follow our published Rules of Conduct and any group-specific rules. Without limitation, you must not:

  • post unlawful, abusive, defamatory, harassing, or discriminatory content;
  • share spam, solicitations, or unauthorised promotions;
  • share malware, phishing links, or other harmful content; or
  • attempt to circumvent any access controls or moderation tools.

We may, at our sole discretion, remove content, restrict participation, or terminate your access for violations of this Agreement.

5A. Use of Vital Direction Services

5A.1 Personal use & acceptance
Services are provided for personal educational use only. By using the Services, you agree to be bound by this Agreement.

5A.2 Responsibility and risk
Using the Services requires reasonable knowledge and judgement. You accept full responsibility for all decisions, trades, and outcomes.

5A.3 Accuracy and reliance
Vital Direction does not guarantee accuracy. If you believe information is incorrect:

  • Do not act on it;
  • Notify Vital Direction.

Acting on information you deem inaccurate is at your own risk.

5A.4 Prohibited use
You may not store, copy, reproduce, distribute, resell, forward, or share any Vital Direction material without written permission.

5A.5 Contact details
You must keep your contact information current.

5A.6 No transaction recommendations
Vital Direction provides educational insights, not trade recommendations. You are solely responsible for any trades you execute.

5A.7 Understanding of risks
You must not enter into any trade unless you fully understand all associated risks.

5A.8 Not an adviser
Vital Direction is not a financial adviser and may not be used as such.

5A.9 Conduct requirements
Respectful conduct is required. Abusive or offensive behaviour constitutes a breach and may result in removal.

5A.10 Refunds and withdrawal
Vital Direction does not offer refunds except as required by law or as defined in the Refund & Cancellation Policy. Users may withdraw from Services at any time; processing typically requires 3–5 business days.

5A.11 Breach consequences
You are fully liable for any breach of these Terms. Vital Direction may suspend or terminate access at its discretion.

6. Subscriptions, Fees, and Billing

6.1 Subscription services
Certain Services (including premium analysis, VIP groups, courses or mentorship) are provided on a paid subscription or one-off fee basis (each, a “Subscription”).

6.2 Fees and changes
The applicable fees, billing frequency, inclusions, and any promotions for each Subscription are displayed at the point of purchase. We may change pricing and features from time to time; changes will apply to new purchases and renewals, with reasonable notice where required.

6.3 Payment processing
Payments are processed via third-party payment processors. By purchasing a Subscription, you authorise us and our payment providers to charge your selected payment method for all applicable fees, taxes, and charges.

6.4 Auto-renewal
Unless expressly stated otherwise, Subscriptions renew automatically at the end of each billing period at the then-current rate. You may cancel auto-renewal at any time in accordance with our Refund & Cancellation Policy. Cancellation prevents future renewals but does not entitle you to a refund for completed billing periods, except as expressly provided in that policy or as required by applicable law.

7. Licence and Permitted Use

7.1 Limited licence
Subject to your continued compliance with this Agreement and payment of any applicable fees, Vital Direction grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your own personal or internal business purposes.

7.2 Prohibited uses
You must not, without our prior written consent:

  • Copy, reproduce, record, screenshot, forward, re-post, or otherwise redistribute any content, analysis, signals, or materials from the Services to any third party (including via other groups, forums, or social media);
  • Sell, lease, license, or otherwise commercialise access to the Services or any content;
  • Reverse-engineer, decompile, or attempt to derive the underlying source, algorithms, or methodologies used in our analysis or signals;
  • Use any automated means (bots, scrapers, crawlers) to access, collect, or harvest data from the Services; or
  • Use the Services in any way that interferes with or disrupts their operation.

We reserve all rights not expressly granted to you under this Agreement.

8. Intellectual Property

8.1 Ownership
 All content and materials made available through the Services, including but not limited to text, graphics, logos, videos, analysis, signals, tools, and the overall look and feel of the Website, are owned by or licensed to Vital Direction and are protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks
 “Vital Direction” and any associated logos, product names, or slogans are trademarks or service marks of Vital Direction LLC or its affiliates. You may not use any of these marks without our prior written permission.

9. Third-Party Links and Brokers

9.1 Links and affiliates
The Services may include links to third-party websites, platforms, brokers, tools, or resources (including, without limitation, affiliate links). Any such links are provided for convenience only and do not constitute an endorsement or recommendation.

9.2 No responsibility for third parties
We do not control and are not responsible for the content, policies, products, or services of any third party, including any broker, exchange, or trading platform you may use. You enter into any relationship with such third parties solely at your own risk.

Where we receive compensation for referrals (e.g., affiliate commissions), we will seek to disclose this in accordance with applicable law.

10. Disclaimers of Warranties

Services are provided “as is” and “as available” without warranties of any kind.

To the maximum extent permitted by applicable law:

10.1 “As is” and “as available”
The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or availability.

10.2 No performance guarantee
We do not warrant or guarantee that:

  • Any information, analysis, or signals are accurate, complete, reliable, current, or error-free;
  • Any particular trading or investment performance, outcome, or result will be achieved;
  • The Services will be uninterrupted, timely, secure, or free from defects or harmful components; or
  • Defects will be corrected.

You assume all risk as to the quality and performance of the Services.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

11.1 Exclusion of consequential loss
Vital Direction, its members, managers, employees, contractors, and affiliates shall not be liable for any:

  • loss of profits, loss of revenue, loss of opportunity, or loss of goodwill;
  • trading losses or other financial losses;
  • indirect, incidental, special, consequential, or punitive damages; or
  • damages arising from loss or corruption of data, service interruptions, delays, or failures of delivery of any content or signal, whether arising in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

11.2 Cap on direct damages
 In no event shall the total aggregate liability of Vital Direction to you for all claims arising out of or related to the Services or this Agreement exceed the greater of:

  • the total amount of Subscription fees actually paid by you to Vital Direction for access to the Services in the three (3) months immediately preceding the event giving rise to the claim; or
  • USD 100.

11.3 Mandatory rights
Nothing in this Agreement limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud or fraudulent misrepresentation. Your statutory consumer rights (if any) remain unaffected.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vital Direction, its members, managers, employees, contractors, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your use or misuse of the Services;
  • your breach of this Agreement; or
  • your violation of any law or the rights of any third party.

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us in asserting any available defences.

13. Termination

13.1 By you
 You may stop using the Services at any time and may cancel any Subscription in accordance with our Refund & Cancellation Policy.

13.2 By us
 We may, at our sole discretion and without liability to you:

  • suspend or terminate your access to some or all of the Services (including groups and communities);
  • suspend or terminate any Subscription; and/or
  • remove or disable content associated with your account,

where we believe you have violated this Agreement, engaged in misconduct, or where required by law or regulatory request.

Unless otherwise stated in our Refund & Cancellation Policy or required by applicable law, termination does not entitle you to any refund of amounts already paid.

13.3 Effect of termination
 Upon termination, your right to access the Services ceases immediately. Any provisions of this Agreement that, by their nature, should survive termination (including payment obligations, disclaimers, limits of liability, indemnities, and governing law provisions) shall survive.

14. Governing Law and Dispute Resolution

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

If you are a consumer resident in the U.K. or EU, you may also benefit from mandatory consumer protection provisions of your local law, and in such cases this clause does not deprive you of those protections.

15. Amendments

We may update, modify, or discontinue any aspect of the Services at any time. We may also update these Terms from time to time.

When we make material changes, we will take reasonable steps to notify you, such as by posting an updated version on the Website with a new “Last Updated” date and/or by email or in-app notice. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

16. Miscellaneous

  • Entire agreement. This Agreement (including policies referenced or linked herein) constitutes the entire agreement between you and Vital Direction with respect to the Services.
  • Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement, in whole or in part, without your consent (for example, in connection with a reorganisation, merger, or sale of assets).
